Terms of Service
These Terms of Service (“Terms”) govern your access to and use of Trident NIL. By creating an account or using the platform, you agree to these Terms. This is a general template and not legal advice — have counsel review before relying on it.
01 Eligibility
To use Trident NIL you must be able to form a binding contract. Athletes must be enrolled or incoming college or university student athletes and are responsible for confirming that any deal complies with NCAA rules and the rules of their conference, school, and state. Athletes under the age of majority (generally 18) may need a parent or guardian’s involvement and may be subject to additional NIL restrictions. Businesses must be legitimate entities or individuals entering deals in good faith. You are responsible for the accuracy of the eligibility information you provide.
02 Accounts
- You must provide accurate information when registering and keep it current.
- You are responsible for keeping your login credentials secure and for all activity under your account.
- Accounts are either athlete or business accounts, each with different features. You may not impersonate another person or misrepresent your affiliation.
- We may suspend or terminate accounts that violate these Terms or that we reasonably believe pose a risk to the platform or its users.
03 NIL Deals & Contracts
Trident NIL is a marketplace that helps athletes and businesses find each other, agree on terms, and execute NIL contracts. Trident NIL is a platform, not a party to any deal. The contract for an NIL opportunity is between the athlete and the business.
- Businesses post deals; athletes apply with a pitch; the business may accept an application, which creates a contract for the two parties to sign.
- Both parties are responsible for the accuracy of the terms they agree to and for actually delivering what they promise (for example, sponsored posts, appearances, or products).
- Deal listings are screened by our automated compliance checks, which flag prohibited categories (such as gambling, tobacco, vape, cannabis, CBD, and adult content), pay-for-play arrangements, and recruiting inducements. These checks are a safeguard, not a guarantee of compliance, and do not replace your own legal and eligibility review.
04 Escrow & Platform Fees
To protect both sides, cash payments are held in escrow through Stripe after a business funds a deal and are released to the athlete when the deal’s conditions are met.
- Cash deals: Trident NIL charges a platform fee of 10% of the cash amount, with a minimum fee of 5 US dollars.
- Product-only deals: a flat platform fee of 25 US dollars applies.
- The platform fee is deducted from the funded amount; the remainder is paid out to the athlete’s connected Stripe account.
- Standard payment-processing fees charged by Stripe may also apply.
Refunds and disputes are handled case by case and are also subject to Stripe’s processes. Funds held in escrow that are not released may be returned to the funding business.
05 Payments
All payments and payouts are processed by Stripe. By funding or receiving payment for a deal, you also agree to the applicable Stripe agreements. You are responsible for any taxes that apply to income you earn or payments you make through the platform. Trident NIL does not provide tax advice, and NIL earnings may be taxable.
06 Prohibited Conduct
You agree not to:
- Use the platform for pay-for-play, recruiting inducements, or any arrangement that violates NCAA, conference, school, or state NIL rules.
- Post deals in prohibited categories or that promote illegal activity.
- Provide false information, impersonate others, or misrepresent follower counts or reach.
- Attempt to circumvent escrow or the platform fee, or move an agreed deal off-platform to avoid protections.
- Harass, threaten, or abuse other users, or upload unlawful, infringing, or harmful content.
- Probe, scrape, overload, or interfere with the security or operation of the platform.
07 Intellectual Property
The Trident NIL name, platform, and its software and design are owned by us and protected by intellectual property laws. You retain ownership of the content you upload (such as your profile, photos, and deal descriptions), and you grant us a limited license to host and display that content for the purpose of operating the platform. Rights to an athlete’s name, image, and likeness within a specific deal are governed by the contract between the athlete and the business, not by these Terms.
08 Disclaimers
Trident NIL is provided “as is” and “as available,” without warranties of any kind, whether express or implied. We do not guarantee that you will find or complete any deal, earn any particular amount, or that the platform will be uninterrupted or error-free. Nothing on Trident NIL is legal, tax, financial, or compliance advice. You are responsible for confirming that your deals comply with all applicable NIL rules and laws.
09 Limitation of Liability
To the maximum extent permitted by law, Trident NIL and its operators will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, or goodwill, arising out of or related to your use of the platform. Because Trident NIL is not a party to deals between athletes and businesses, we are not responsible for the performance, conduct, or obligations of the other party to your deal. Our total liability for any claim relating to the platform will not exceed the total platform fees you paid to us in the three months before the event giving rise to the claim.
10 Indemnification
You agree to indemnify and hold harmless Trident NIL and its operators from claims, damages, and expenses (including reasonable legal fees) arising out of your use of the platform, your deals with other users, your content, or your violation of these Terms or of any applicable law or NIL rule.
11 Governing Law
These Terms are governed by the laws of the State of Texas, without regard to its conflict-of-laws rules. You agree that any dispute relating to these Terms or the platform will be subject to the exclusive jurisdiction of the state and federal courts located in Texas, unless applicable law requires otherwise.
12 Changes
We may update these Terms from time to time. When we make material changes, we will update the “Last updated” date at the top of this page. Your continued use of Trident NIL after an update means you accept the revised Terms.
